01 // Scope of Engagement

Fortune Infrastructure, LLC ("The Provider") provides a specialized Phase 1 Forensic Diagnostic audit. The fixed fee for this engagement covers the analysis of a single Engagement Area (defined as one distinct business unit or department, such as "Sales Operations" or "Logistics"). Analysis of additional areas requires a separate authorization and fee.

02 // Cooperation and Access

The Client agrees to provide necessary API, read-only system access, and technical documentation within 48 hours of payment confirmation. The Provider's delivery timeline is contingent upon this cooperation; any delay in system access will result in an equivalent delay in the delivery of the Sovereign Infrastructure Blueprint.

03 // Independent Contractor Affirmation

The Provider performs all services as an Independent Contractor. The Provider maintains complete autonomy over the methods, techniques, and sequences used to perform the forensic audit. This agreement does not create an employer-employee relationship, joint venture, or partnership between the parties.

04 // Audit Disclosure (Evaluative Only)

The Phase 1 Diagnostic is an evaluative forensic audit designed to identify systemic vulnerabilities and inefficiencies. While recommendations will be provided, this engagement does not include the active implementation of code fixes, system migrations, or hardware deployments.

05 // LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FORTUNE INFRASTRUCTURE, LLC BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.

THE PROVIDER'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT OR THE SERVICES PROVIDED HEREUNDER SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CLIENT TO THE PROVIDER FOR THE SPECIFIC ENGAGEMENT GIVING RISE TO THE CLAIM.

03 // DISCLAIMER OF WARRANTIES

SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. THE PROVIDER EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION OBTAINED BY THE CLIENT FROM THE PROVIDER SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.

04 // INDEMNIFICATION

The Client agrees to defend, indemnify, and hold harmless Fortune Infrastructure, LLC and its employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from the Client's use of the diagnostic results, any payment documentation submitted by the Client, or any breach of these terms by the Client.

05 // GOVERNANCE & JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in Cook County, Illinois, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

06 // PAYMENT & FINALITY

All fees paid for Phase 1 Forensic Diagnostics are considered earned upon execution of the digital authorization and the initiation of the diagnostic process. Due to the intellectual and technical nature of the audit, all payments are non-refundable once the Provider has commenced the intake verification process.
